Terms of service
The agreement between you and us. It includes the data protection terms, so there is no separate document to ask for.
01The agreement
This agreement is between you, the merchant installing StockApp, and Cleo Wangayi, 3 3rd Street, Westview, Kadoma, Zimbabwe. You accept it by installing the app.
You confirm you are authorised to install applications on the Shopify store in question and to give them the permissions StockApp requests.
02What the app does
StockApp reads your product, inventory, location and order data from Shopify and uses it to forecast demand, suggest what to reorder and how much, and to manage purchase orders, receiving and stocktakes.
03What the app writes to your store
StockApp changes your Shopify inventory in exactly two situations, and both are actions you take deliberately:
Nothing else in the app writes to your store. The forecast, the buy list and the reorder suggestions change nothing until you act on them.
04The forecast is an estimate
This matters enough to say plainly. StockApp produces estimates of future demand from past sales. Estimates are sometimes wrong, and a forecast cannot know about a supplier going under, a competitor opening, a product going viral, or weather.
Every purchasing decision is yours. We show our working, publish how accurate our forecasts have been, and show you where a simple seasonal benchmark beats us, precisely so that you can judge how much weight to put on a number rather than taking it on faith. We are not liable for commercial decisions you make on the basis of a forecast.
The app also depends on Shopify's APIs. Where Shopify restricts what we can read (for example limiting order history) the forecast is built on less data, and the app says so on screen rather than pretending otherwise.
05Plans, billing and cancelling
All billing runs through Shopify. We never see or store your card details, and every charge appears on your Shopify invoice.
Shopify bills recurring app charges every 30 days rather than on a calendar month, so a plan described as monthly is charged thirteen times in a common year. That is Shopify's billing cycle and we are telling you about it rather than letting you discover it.
You can cancel or downgrade at any time from inside the app or by uninstalling it. You never have to email anyone to stop paying us. An upgrade takes effect immediately. A downgrade takes effect at the end of the cycle you have already paid for, so you keep what you bought.
If you stop paying, you are downgraded, not locked out. Your data stays. The free tier keeps working. You will not find your purchase order history held hostage.
06What we promise about pricing
These are commitments, not marketing. If any of them stops being true, this page and the pricing page change before the price does.
- No annual contracts.
- No per-location fees.
- No per-SKU or per-order fees.
- No onboarding or implementation fees.
- No "contact us for a quote".
- No price that changes at renewal. If we raise our list price, you keep the price you signed up at.
07Your responsibilities
- Keeping your Shopify account secure, including who on your staff can open the app.
- The accuracy of what you enter: supplier lead times you override, minimum order quantities, case pack sizes and counted quantities. The app measures what it can and asks you for the rest.
- Checking a purchase order before you send it, and a stocktake before you approve it. Both change real numbers.
- Using the app lawfully, and not attempting to access another merchant's data.
08Data protection terms
These terms apply where we process personal data belonging to your customers on your behalf. You are the controller. We are the processor. They form part of this agreement, which means every merchant has them without asking.
09Availability
We aim to keep StockApp available and will not pretend to offer an uptime guarantee we have no track record to support. Scheduled maintenance will be announced in the app where we can foresee it.
Your data in Shopify is unaffected by StockApp being unavailable. The forecast is a recommendation layer; your store keeps selling.
10Ending it
Uninstall the app at any time from your Shopify admin. That cancels any subscription immediately and starts the deletion described above.
We may suspend or end access if the app is used unlawfully, or in a way that threatens the security of the service or other merchants' data. We will tell you why.
11Liability
Nothing in this agreement limits liability that cannot lawfully be limited, including for fraud, or your rights under consumer law where those apply.
Otherwise, and to the extent permitted by law, our total liability under this agreement is limited to the amount you paid us in the twelve months before the claim, and we are not liable for lost profits, lost sales, or the commercial consequences of purchasing decisions, whether or not those decisions were informed by the app.
12Changes, and the law that applies
If these terms change in a way that affects your rights or what you pay, we will tell you inside the app before it takes effect.
This agreement is governed by the laws of Zimbabwe. Questions go to dev@watacle.com.
